Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at onboxlaw.com (the "Site") and the on-premise software appliance (the "Software") provided by OnBox Law ("OnBox Law," "we," "us," or "our"). By accessing the Site or using the Software, you agree to these Terms. If you do not agree, do not use the Site or Software.

1. Eligibility and Accounts

You must be authorized to enter into these Terms on behalf of your firm or organization. You are responsible for maintaining the confidentiality of any credentials and for all activity that occurs under your account or appliance.

2. License to Use the Software

Subject to these Terms and any applicable order or agreement, we grant your firm a non-exclusive, non-transferable, revocable license to use the Software on the appliance within your environment for your internal legal practice. You may not sublicense, resell, reverse engineer, or copy the Software except as expressly permitted.

3. Your Data and Responsibilities

The Software operates on-premise, and all documents, emails, recordings, and other content you process ("Client Data") remain on your hardware. You are solely responsible for your Client Data, for the security and administration of your environment, for backups, and for your use of any outputs generated by the Software. You represent that you have the rights necessary to process the Client Data through the Software.

4. Not Legal Advice

The Software is a professional tool intended to assist licensed legal professionals. Its outputs, including drafts, summaries, timelines, and any modeling or estimates, are decision-support materials, not legal advice, and are not a substitute for the independent professional judgment of a licensed attorney. You are responsible for reviewing, verifying, and approving all outputs before any reliance or use.

5. Acceptable Use

You agree not to use the Site or Software to violate any law or regulation, infringe the rights of others, attempt to gain unauthorized access to any system, or interfere with the operation or security of the Software. You will comply with all professional and ethical obligations applicable to your practice.

6. Intellectual Property

The Software, the Site, and all related materials, including the underlying legal language model and all associated intellectual property, are and remain the property of OnBox Law and its licensors. These Terms do not transfer any ownership rights to you. Client Data remains yours.

7. Fees

Fees, payment terms, and the scope of your license are set out in the applicable order form or agreement between you and OnBox Law. Unless otherwise stated, fees are non-refundable.

8. Disclaimer of Warranties

The Site and Software are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free or uninterrupted, or that any output will be accurate or complete.

9. Limitation of Liability

To the maximum extent permitted by law, OnBox Law will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Site or Software. Our total liability for any claim will not exceed the amounts paid by you to OnBox Law for the Software in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless OnBox Law from any claims, liabilities, damages, and expenses arising out of your use of the Software, your Client Data, or your violation of these Terms or applicable law.

11. Termination

We may suspend or terminate your access to the Site or Software if you breach these Terms. Upon termination, the license granted to you ends, though your Client Data remains on your hardware under your control.

12. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Florida.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site or Software after changes take effect constitutes acceptance of the revised Terms.
